Summary Objective

Global Tax provides strategic tax leadership and execution of Corel’s global tax strategies. Reporting to the CFO, the position has overall responsibility for managing the worldwide tax function in a fast-paced environment. The Tax Director will manage two staff roles and the strategic third party advisors while taking a hands-on approach in all aspects of the job. The role includes managing a multi-hundred million dollar tax attribute profile across a global entity structure including Jersey / UK, Canada, United States, Germany, Japan, Malta, Russia, Estonia, etc.

Key Responsibilities

Establish a strategic view of the tax planning and Corel’s legal entity structure that optimizes the tax position globally and that can accommodate operational and

strategic changes in support of the business strategy, including the ability to accelerate acquisitions.

Develop operational and tactical plans in response to Company’s long-range tax plans:

Manage all aspects of financial reporting for income taxes (ASC 740), including income statement, balance sheet, statement of cash flows, uncertain tax positions (FIN 48) and financial statement tax disclosures.

Oversee all aspects of indirect tax compliance and accounting, including, but not limited to, sales and use tax, payroll tax, and property taxes.

Manage the worldwide transfer pricing process and maintain up to date inter-company transactions and agreements that reflect the intent and financial purpose behind each transfer pricing agreement.

Establish global tax policies and procedures by collaborating with the business to determine the most tax efficient manner to repatriate cash; reduce the current tax liability; and lower the effective tax rate.

Manage worldwide income tax compliance including preparation, review and filing of the federal and state consolidated income tax returns federal and state estimated payments and extensions, foreign income tax returns, and foreign GST and VAT taxes.

Establish and update tax-planning models to forecast the utilization of tax attributes, changes in tax positions and other opportunities.

Advise on the impacts of new or proposed tax law, tax regulations, tax planning, and accounting rule changes.

Represent Corel during tax examinations initiated by various jurisdictions relating to all types of taxes.

Coordinate audit and tax planning activities with internal Legal and Accounting departments.

Manage all tax-related M&A due diligence activities including tax support in structuring acquisition transactions and develop the tactical steps plans in order to implement post acquisition structure and processes. Mitigate tax risks and exposure through the M&A diligence process and purchase negotiations.

Manage integration of acquired entities and coordinate/review all acquired entity domestic income/franchise tax filings. Support the purchase valuation for intangible assets and tax allocation valuation review for acquired entities.


Business Acumen – quantitative (data driven) & qualitative.

Experience dealing with the establishment and maintenance of an offshore IP migration structure and Transfer Pricing for inter-company sales of products or services, lending,and royalties.

Strong technical and research background around federal and state tax codes and interpretation of international tax requirements.
